Professional Experience

Cindy's real estate practice includes the representation of real estate developers and corporate clients in all aspects of transactional real estate matters, including acquisition and development of real property, real property leasing, including industrial, office and retail leasing. Cindy assists clients in asset and company acquisitions and assist lenders and borrowers in real property secured financings and unsecured financings. Cindy drafts, reviews and negotiates complex real estate contracts including purchase and sale, office, industrial and retail leases, easements, right of entry and licensing agreements. Cindy's practice also includes analysis related to survey maps and title matters, including preliminary reports, underlying title documentation, title policies and endorsements in connection with acquisition and disposition of commercial real property. Cindy assists solar power clients in real estate related matters, including the negotiation, and preparation of easement contracts, right of entry and licensing contracts and power purchase contracts with energy companies.

Representative Transactions:

  • Assisted lender client in $130 million real estate secured financing transaction, including negotiation and preparation of promissory notes, security agreements, deeds of trust and extensive title review of over 60 pieces of real property used as collateral for loan.
  • Assisted client in $50 million acquisition of real and personal property assets of several companies, including preparation of purchase and sale contracts, easements, assignment and assumption documentation and extensive due diligence review of title matters.
  • Assisted borrower client in $500 million unsecured financing transaction, including preparation and review of loan agreements, promissory notes, guaranties and company resolutions.
  • Assisted client in negotiating and preparing contracts in connection with the sublease and development of over 300,000 square feet for automotive dealership.
  • Assisted client in $1 billion option to purchase over 30 real property parcels, including preparation of purchase and sale contracts, review of title matters and acted as project manager in connection with the due diligence process.
