David is a shareholder in the firm’s Corporate and Intellectual Property groups. David’s practice focuses on all aspects of corporate and securities law, corporate governance, intellectual property and regulatory compliance. He has extensive experience counseling clients of all sizes from start-up stage through publicly traded companies in a wide range of industries including high technology, life sciences and alternative energy technologies.
David has 20 years of experience in corporate and securities law and has acted as issuer’s counsel on numerous public offerings and private offerings. In addition to acting as outside general counsel for public companies, his transactional practice has included a large number of mergers and acquisitions involving national corporations, as well as strategic partnering arrangements that included licensing, distribution, and research collaboration.
Previously, David served as general counsel, corporate secretary and vice president of corporate development for a publicly traded biomedical/biomaterials company. During his tenure with the company he managed all legal services while also developing and implementing corporate initiatives directed at ISO and CE certification, QSR compliance for FDA audits and regulatory submissions with the FDA. In addition, he also led efforts to obtain certifications, initiated clinical trials for submission to the U.S. Food and Drug Administration, and developed strategic partnering, licensing and investor relations efforts.
David is active in the Sacramento community, including serving as Chair for the Crocker Art Museum “Crocker Uncorked” fundraiser for three years.
Some of the more recent transactions that David has led include:
- Representation of a major publicly traded company in the acquisition of significant manufacturing operations located in China from another publicly traded company;
- Representation of a major publicly traded high tech company in a ~$72-milllion public offering;
- Representation of a publicly traded medical device/biotech company in a ~$38-million public offering;
- Representation of a major publicly traded company in its acquisition by another publicly traded company in a ~$300-million transaction;
- Representation of a publicly traded high tech client in three rounds of private financing and registration for resale with the Securities & Exchange Commission aggregating ~$27-million;
- Representation of a publicly traded life sciences company in several rounds of private institutional financing with aggregate proceeds in excess of ~$50-million.
