Shawn is a Shareholder in the firm's Real Estate and Corporate groups.

Shawn’s real estate practice focuses on representing developers and investors in the purchase, sale and development of real property. Shawn’s experience includes representing developers in commercial and residential projects, from the formation of a development entity and acquisition of property, to financing and construction of a project, through any resulting sale or leasing needs. He has extensive experience in representing lenders and borrowers in all types of real estate related loan transactions, including acquisition and development, construction, environmental remediation and permanent financing.

His real estate practice additionally includes the drafting and negotiating of leases, drafting residential development sale documents, conditions, covenants and restrictions for residential and commercial projects, and obtaining approvals from the California Department of Real Estate.

Shawn’s corporate practice includes the formation and capitalization of business entities for real estate development and other commercial enterprises. He has broad experience representing developers and investors in the forming and operating of limited liability companies, partnerships, joint ventures, and other investment vehicles. Additionally, Shawn regularly advises clients on corporate governance and general corporate matters. He has represented companies in venture financing, private placements, mergers and acquisitions, and in a broad array of other business transactions.

Prior to practicing law, Shawn was active in state politics and worked for over nine years in the California State Legislature for numerous legislators, including the Speaker of the Assembly. Shawn also served as Executive Director of the California Health Facilities Financing Authority.

• Counsel for residential developers in the acquisition and sale of properties in Sacramento, Placer, El Dorado, Sutter, and Merced counties.
• Borrower’s counsel for over $400 million in acquisition and development, construction, and working capital loans for homebuilders, highrise and commercial developers.
• Seller’s counsel in the sale of the Esquire Plaza office building in downtown Sacramento.
• Lender’s counsel for over $350 million in syndicated loans with national lenders for the development and construction of five high-rise luxury condominium projects.
• Counsel for both sellers and buyers in the purchase and sale of wide variety of office and retail properties.
• Counsel for the County of Merced in connection with the master development of the former Castle Air Force Base.
