Mary practices general corporate and securities law, with an emphasis on consumer transactions.

Mary has represented commercial banks, credit unions, and mortgage companies as a seller or purchaser connected with the sales of pools of residential mortgage loans, home equity loans, leases, commercial loans, and servicing rights in the secondary market. She has provided counsel to ensure that purchase and servicing agreements comply with Regulation AB for securitized loans.

Mary has represented a marketplace lender in connection with the sale and servicing of small business loans.

Mary has represented the manager of a group of private equity funds that raised capital for investment in distressed mortgage assets. She has provided advice concerning investment advisor registration and reporting requirements under Federal and California law.

Mary has drafted entity formation documents for start-up companies and private equity funds.

Mary worked as in-house counsel in the consumer finance section of the Bank of America legal department before she joined the firm in 2005.

On behalf of the California Bankers Association, she participated as an observer and as a member of the Consumer Issues Subcommittee, as the Article 9 Drafting Committee developed a new version of Uniform Commercial Code Article 9, effective 2001.
