Chris is a shareholder in the firm’s Corporate department. His practice focuses on public and private clients in a variety of industries including technology, private equity, agri-business, manufacturing and trade associations. Chris represents both private and public companies. Chris routinely represents and counsels clients on a broad range of legal and business matters involving corporate governance, corporate finance, mergers and acquisitions, stock issuances, fiduciary duties and licensing and distribution arrangements. His practice encompasses transactions for companies of all sizes ranging from growth companies to well capitalized publicly traded corporations, for profit and non-profit companies, partnerships, limited liability companies and joint ventures throughout the United States and many other countries.
Chris is the author of numerous publications regarding business law matters, including: authoring two chapters of Forming and Operating Limited Liability Companies in California, and one chapter of Advising California Partnerships, California Education of the Bar (CEB); acting as a contributing author to California Transaction Forms, Business Entities, Limited Liability Partnerships Module, Bancroft Whitney, the Report on Legal Opinions Concerning California Partnerships by the Partnerships and Limited Liability Companies Committee of the Business Section of the State Bar of California, and the Guide to Organizing and Advising California Limited Liability Companies, Business Law Section, State Bar. Chris was also a co-author of “Export Controls in the Biotechnology Industry,” Santa Clara Computer and High Technology Law Journal, and “Current Techniques of Executive Compensation Business Law Reporter” and “A Primer on California’s New Limited Liability Law,” Parts I and II, Business Law Reporter.
Chris was selected for inclusion in Northern California SuperLawyers in 2009-2011. He was also recognized on The Best Lawyers in America® list for 2008-2011. In 2009, Chris was named Sacramento “Lawyer of the Year” in the area of Corporate Law by Best Lawyers in America®.
